1. Introduction
1.1 Overview of Terms
These Terms and Conditions ("Terms") govern your access to and use of the Spedy application ("Spedy App"), which is operated by Brydge Holding, LLC. These Terms encompass various policies and standards that contribute to a safe, accessible, and user-friendly experience within the Spedy App ecosystem. This includes, but is not limited to:

Privacy Policy: Outlines how we collect, use, and disclose your personal information.

Safety Standards: Guidelines to ensure a secure environment within the Spedy App.

Accessibility Policies: Standards designed to make the app inclusive and usable for all individuals, regardless of ability.
Collectively, we refer to these additional policies and standards as the “Supplemental Terms.” The Supplemental Terms, together with this document, the Privacy Policy, and any referenced documents, collectively constitutes the complete and binding agreement between you and Spedy regarding your use of the Spedy App and its services. These Terms supersede any prior or simultaneous written or verbal agreements concerning your use of Spedy.
1.2 Applicability of Terms
For simplicity, these Terms and Conditions and the Supplemental Terms are collectively referred to as the “Terms.” The Terms apply to your access and use of the Spedy App from any location in which it is available, including the United States, Panama, Canada, and other countries. In these Terms, the words “including” and “include” should be interpreted to mean “including, but not limited to,” which clarifies that examples provided are not exhaustive.
1.3 Agreement and Binding Nature
By accessing, using, or registering an account with the Spedy App in any of the locations where the app operates, you agree to be fully bound by these Terms. These Terms apply to all elements of the Spedy App, which include, but are not limited to:

Mobile applications and web-based interfaces.

Content made available through Spedy.

Products and services provided by Spedy.

Tools and interactions that are facilitated both within and outside of the app.
This agreement forms a contractual relationship between you and Spedy. If you do not agree with any part of these Terms, you must immediately refrain from using or accessing the Spedy App.
1.4 Age Requirements
To use the Spedy App, you must be at least 18 years of age. By accessing or using the Spedy App, or by agreeing to these Terms, you confirm that you are at least 18 years of age and meet the specified age requirement.
1.5 User Acceptance of Terms
By creating an account (whether an Explore or Brydgee account), submitting content, or using any Spedy services or features, you confirm that you have read, understood, and expressly accepted these Terms. This acceptance includes your acknowledgment of limitations on liability, disclaimers, and provisions concerning indemnity.
1.6 User Indemnity
You agree to indemnify, defend, and hold harmless Spedy, Brydge Holdings LLC, and its officers, directors, employees, agents, contractors, and affiliates against any claims, demands, losses, liabilities, damages, costs, and expenses (including attorneys’ fees) arising from or related to:

(i) Your use of Spedy Services or any experiences derived from your usage.

(ii) Spedy’s use of any content you submit, referred to as 'User Content.

(iii) Any violation of third-party rights, including those of service providers.

(iv) Any breach or violation of these Terms by you.
This indemnity applies fully to protect Spedy and its affiliates against legal claims, financial liabilities, or other damages stemming from your use of the app.
1.7 Revisions to Terms
Spedy reserves the right to modify these Terms or update policies related to the Spedy App at any time. Any changes to the Terms will take effect upon publication or notification. We will provide notice of any substantial changes, and by continuing to use or access the app following such changes, you agree to be bound by the revised Terms. It is your responsibility to regularly review these Terms to stay informed about any updates.
In cases where you have expressly agreed to the Terms, Spedy may request your agreement to future revisions. If you do not expressly accept the revised Terms within a specified timeframe, Spedy reserves the right to disable or delete your account on the app, thereby terminating your access.
1.8 Notice and Communication
Spedy may communicate important information, policy updates, or notices to users by means of:

1.9 Assignment
Spedy reserves the right to assign, transfer, sub-contract, or otherwise delegate its rights and/or obligations under these Terms to any affiliate, subsidiary, or acquirer at any time without prior notice to you.
You may not assign, transfer, sub-contract, or otherwise delegate any of your rights and/or obligations under these Terms without obtaining Spedy’s prior written consent. Any attempt to do so without prior consent will be null and void. Spedy retains the discretion to assign or transfer these Terms without restriction in cases such as:

(i) Assignments to an affiliate or subsidiary.

(ii) Transfers to an acquirer of Spedy’s equity, business, or assets.

(iii) Transfers to a successor by merger.
These Terms do not create any joint venture, partnership, employment, or agency relationship between you, Spedy, any Third-Party Provider, or any Out-of-App Experience Provider. If a provision of these Terms is found to be invalid or unenforceable, the remainder of the Terms will fully continue in effect permitted by law. Failure by Spedy to enforce any provision or right in these Terms does not constitute a waiver of that right unless formally acknowledged in writing by Spedy.
1.10 App Store Terms
You acknowledge and agree that the availability of Spedy Services may depend on the third-party platform from which you downloaded the app, such as the Apple App Store or Google Play Store (“App Store”). You acknowledge that these Terms govern the relationship solely between you and Spedy, not the App Store provider. Each App Store may impose its own terms and conditions that you must comply with independently, and Spedy is not liable for any obligations or representations and claims imposed by these app stores.
However, if you downloaded the Spedy App from the Apple App Store, Apple and its subsidiaries are third-party beneficiaries to these Terms and have the right to enforce these Terms against you as a third-party beneficiary. By accepting these Terms, you agree to Apple’s Licensed Application End User License Agreement, with yourself as the “end-user.” In the event of a conflict between this agreement and the Licensed Application End User License Agreement, these Terms will take precedence.
1.11 Language Provisions
In Panama, Canada, and the United States, these Terms are available in the primary languages required by law in each jurisdiction. Should there be any discrepancies or differences in interpretation between language versions, the English version will prevail for legal purposes.
2. Intellectual Property
2.1 Ownership of Content
All content, features, and functionality of the Spedy app and website—including, but not limited to, software, information, text, images, video, audio, graphics, and interfaces (collectively, the "Content")—are the exclusive property of Brydge Holdings LLC and its licensors. All rights to the Content are protected and fully reserved under applicable intellectual property laws.
2.2 License to User Content
Spedy grants you a limited, non-exclusive, non-sublicensable, revocable, and non-transferable license, subject to your compliance with these Terms, to:

Access and Use the Spedy App: You may access and use the Spedy application on your personal device solely in connection with your authorized use of the Spedy Services. This license is granted for personal purposes only and must not be used for any commercial, unauthorized, or prohibited activities.

Access and Use Content Provided by Spedy: You may access and use content, information, and related materials that are made available through the Spedy Services. Such use is limited to personal, non-commercial purposes, and all content must be accessed and utilized in accordance with these Terms.
Spedy and its licensors retain and reserve all rights not expressly granted to you under these Terms. This means that any rights not specifically given to you remain under the control and ownership of Spedy or its licensors, ensuring the continued protection of Spedy’s intellectual property and proprietary resources.
Content Submission and Licensing
When you submit content to the Spedy application, you grant Spedy a worldwide, irrevocable, non-exclusive, royalty-free license to:

Use and Reproduce: Spedy may use, reproduce, and store your submitted content for purposes related to the operation, improvement, or enhancement of the Spedy Services.

Publish Content (With Your Consent): With your explicit and affirmative consent, Spedy may also publish your submitted content on its platform or related channels.
By submitting content, you represent and warrant that:

Compliance with Terms: Your content adheres to these Terms and does not violate any rules, conditions, or requirements specified by Spedy.

Legality: Your content does not infringe upon any applicable laws, regulations, or third-party rights, including but not limited to intellectual property rights, privacy rights, and contractual obligations.

Accuracy and Integrity: Your content is accurate, does not contain misleading information, and is submitted in good faith.
Spedy’s Rights Over User Content
Spedy reserves the right to review all user-submitted content to ensure compliance with these Terms. If your content is found to violate these Terms or any applicable laws, Spedy may, at its sole discretion:

Modify the content to ensure it meets platform guidelines or legal requirements.

Temporarily or permanently delete the content from the platform.
-
Remove the content without prior notice if deemed harmful, inappropriate, or in violation of the law or third-party rights.
Spedy’s rights to manage content are intended to maintain a secure, respectful, and legally compliant platform for all users while balancing the need for individual expression within the bounds of these Terms.
This extended license and set of terms ensure that Spedy can operate its services effectively, maintain platform integrity, and protect the rights and interests of all users while respecting user-generated content and intellectual property rights.
2.3 Restrictions on Submitted Content
You agree to abide by the following restrictions in connection with your use of the Spedy Services. Specifically, you will not:

Remove or Alter Proprietary Notices
You agree not to remove, obscure, or modify any copyright, trademark, or other proprietary notices that appear on or within any part of the Spedy Services. These notices are integral to protecting the intellectual property and ownership rights of Spedy and its licensors. -
Unauthorized Use or Exploitation of Services
You will not reproduce, modify, create derivative works from, distribute, sublicense, lease, sell, resell, transfer, publicly display, publicly perform, transmit, or otherwise exploit any part of the Spedy Services, unless expressly permitted by Spedy in writing. Any use beyond what is explicitly allowed under these Terms is strictly prohibited. -
Prohibition of Reverse Engineering and Similar Activities
You will not decompile, reverse engineer, disassemble, or attempt to extract source code or underlying algorithms from any part of the Spedy Services, except where such activities are permitted by applicable law. Even in such cases, any extracted information may only be used in compliance with these Terms. -
Unauthorized Linking, Mirroring, or Framing
You agree not to link to, mirror, or frame any portion of the Spedy Services, whether for personal or commercial purposes, without prior written authorization from Spedy. Such activities are only permitted if explicitly approved to maintain the integrity and security of Spedy’s platform. -
Unauthorized Access or Disruption
You will not attempt to gain unauthorized access to Spedy Services, including its related systems, servers, or networks. You are also prohibited from impairing, disrupting, or attempting to interfere with the proper functioning of any part of the Spedy Services, including through hacking, phishing, or other malicious activities.
Content Submission Guidelines
When submitting content to the Spedy platform, you further agree that the content you provide will adhere to the following rules:

Respect for Intellectual Property Rights
Your submitted content must not infringe upon any intellectual property rights, including copyrights, trademarks, patents, or other proprietary rights of third parties. By submitting content, you confirm that you have the necessary permissions or ownership rights to share it. -
Prohibition of Inappropriate Material
Your content must not include any material that is unlawful, obscene, defamatory, offensive, threatening, or otherwise inappropriate. This includes, but is not limited to, content that promotes hate speech, discrimination, or harassment of any kind. -
Restriction Against Malicious Code
Your submissions must not contain any harmful or malicious code, including but not limited to viruses, worms, Trojan horses, spyware, or any similar software designed to damage, disrupt, or interfere with the functionality of the Spedy platform, user devices, or associated systems. -
Accuracy and Compliance
You are responsible for ensuring that any content you submit is accurate, lawful, and in compliance with all applicable regulations, as well as the terms set forth by Spedy. Content that is misleading, fraudulent, or intentionally deceptive is strictly prohibited.
Enforcement of Terms
Spedy reserves the right to monitor, review, and take action on submitted content to ensure compliance with these guidelines. This includes the authority to:

Modify or Remove Non-Compliant Content: Spedy may edit, delete, or refuse to display content that violates these Terms, infringes upon third-party rights, or is otherwise deemed inappropriate.

Suspend or Terminate Access: In cases of severe or repeated violations, Spedy may suspend or terminate your access to the platform and related services, in addition to pursuing legal action if warranted.
By agreeing to these extended terms, you acknowledge the importance of maintaining a secure, lawful, and respectful environment for all Spedy users and commit to upholding these principles in your use of the platform.
2.4 Ownership, License, and Restrictions
The Services, along with all rights, titles, interests, and associated intellectual property rights, are and shall remain the sole property of Spedy or Brydge Holdings LLC. These Terms do not constitute a sale and do not grant you any ownership rights in or related to the Services, or any intellectual property rights owned by Spedy or its licensors, except for the limited license explicitly provided herein.
Subject to your compliance with these Terms, Spedy grants you a limited, non-exclusive, non-sublicensable, revocable, and non-transferable license to (i) access and use the Spedy App solely for your personal device in connection with the Services; and (ii) access and use any content, information, and related materials made available through the Services solely for your personal, non-commercial use. Any rights not expressly granted herein are reserved by Spedy and its licensors.
Additionally, any access and use of content, information, and related materials available through the Services should aim to enhance the safety, integrity, and authenticity of the service experience for all Explore and Brydgee users.
You agree not to use Spedy’s copyrights, trademarks, service marks, or trade dress beyond incidental use directly connected to the Services, without express written permission from Spedy or its licensors. This prohibition extends to the use of Spedy’s intellectual property in domain names, websites, and social media accounts.
2.5 Prohibited Actions
You agree not to engage in the following actions:

Remove any copyright, trademark, or other proprietary notices from any portion of the Services;

Reproduce, modify, create derivative works from, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast, or otherwise exploit the Services, except as expressly authorized by Spedy;

Decompile, reverse engineer, or disassemble the Services, except as may be explicitly permitted by applicable law;
-
Link to, mirror, or frame any part of the Services;
-
Initiate or launch any programs or scripts that unduly burden or hinder the operation or functionality of any aspect of the Services; or
-
Attempt to gain unauthorized access to or impair any component of the Services or their related systems or networks.
3. Account Terms
3.1 Services Overview
The Spedy app provides a platform to connect users with third-party providers, allowing users to:

Request or Receive Services: Users can find, request, or receive services provided by independent third-party providers, including but not limited to services from Brydgee. These providers operate independently, fulfilling requests made through the Spedy platform.

Personalized Content: The app curates personalized content based on user interests, preferences, and location, such as tips, recommendations, and advertisements. This content aims to enhance your experience by providing relevant information and suggestions.

Supporting Services: Spedy also offers additional support features, such as preference management, payment processing, and customer support. You can specify certain service preferences, make secure payments, and seek help for issues or concerns that arise during your use of the app.
These services are provided solely for your personal, non-commercial use unless you have entered a separate, written agreement with Spedy. The app does not serve as an employment or service agent for third-party providers and is instead a facilitator of the connection between users and these providers.
3.2 Service Request Process
Upon making a service request through the Spedy app, third-party providers are notified of the opportunity to fulfill the request. Key points to consider include:

Acceptance by Third-Party Providers: Third-party providers have the discretion to accept or decline service requests. This decision lies solely with the provider.

User Decision: As a user, you also retain the right to accept or decline services offered by third-party providers in response to your request.
-
Cancellations: Once a request has been initiated, you may have the option to cancel; however, depending on the progress of the request, cancellation may incur a fee, and certain costs may not be refunded, especially if items were purchased on your behalf.

Feedback Requirement: After the completion of services, both you and the provider are encouraged to provide feedback. This feedback helps ensure the credibility, reliability, and safety of the Spedy platform.
3.3 Spedy’s Role and Limitations
Spedy operates solely as a facilitator of third-party services and does not act as a common carrier, tour guide, or transportation provider. The services provided are available only to registered users of Spedy and are not open to the general public. Key points include:

Independent Providers: Third-party providers are not employees, agents, or representatives of Spedy or Brydgee Holdings LLC. They operate independently, providing services at their own discretion.

Non-Agency Relationship: Measures taken by Spedy to enhance user safety, such as background checks or rating systems, do not establish an employer-employee or agency relationship between Spedy and third-party providers.

User Liability: By accepting these terms, you agree that Spedy and Brydgee Holdings LLC are not responsible for any recommendations, tips, advice, or advertisements provided within the app by third-party providers, users, or other sources. You assume all responsibility for actions taken based on this information, including any potential damages, death, losses, or injuries.
3.4 Communications
By creating a Spedy account, you consent to receive communications related to your account and the Spedy services through various channels, including:

Primary Communications: Spedy may contact you via email, text message, WhatsApp, calls, in-app messaging and calling, and push notifications to the contact details you provided.

Third-Party Providers: Communications with third-party providers are primarily designed to occur within the Spedy app through in-app messaging and calling. By utilizing these in-app channels, we aim to ensure your safety, privacy, and security throughout your interactions. However, if you voluntarily choose to engage in communication with third-party providers outside of the Spedy app, whether via phone, text, email, or any other platform, you acknowledge and accept full responsibility for any risks associated with this choice. By choosing to communicate outside of Spedy’s secure environment, you understand that you are willingly sharing your contact information with the third party and accept any potential outcomes of that communication, including—but not limited to—losses, damages, injuries, or other unintended consequences. Spedy and Brydge Holding LLC expressly disclaim any responsibility or liability for actions, incidents, or communications that occur outside the app. This includes any consequences arising from your decision to communicate independently with third-party providers. Please exercise caution and sound judgment when choosing to communicate outside the app’s secure environment, as Spedy and Brydge Holding LLC cannot guarantee your safety or privacy once interactions occur outside the platform.

Fraud or Security Alerts: In cases where Spedy suspects fraudulent or unlawful activity associated with your account, we may contact you through any available contact method, including phone calls or recorded messages.
3.5 Data Sharing and Privacy
Spedy’s data-sharing practices are limited to your public profile information and feedback, which are visible to other users and third-party providers. Additional points include:

Data Visibility: Information shared includes your profile details and feedback; no personal information beyond this is disclosed without your consent.

Privacy and Policy Compliance: Spedy's data handling is governed by its privacy policy, and any feedback you submit is subject to Spedy’s data usage policies.
3.6 Account Registration and Use
To access most Spedy features, you must register for a user account and agree to the following requirements:

Eligibility: Users must be located in the United States, Canada, Panama, or another supported region, be at least 18 years old and not have been previously banned from the platform.

Account Information: To register, you must complete and submit an account registration form and verify it through an emailed code. Registration requires providing personal information such as your name, location, still or live photo, phone number, email, and age, as well as a supported payment method authorized for use.

Account Security: You are responsible for keeping your account information accurate and up to date, including maintaining a valid payment method(handled by third parties such as PayPal or Stripe). You may be denied access to or use of the Spedy app if you refuse to provide (or we are unable to verify) proof of age, identity, or other methods of identity verification. Additionally, you authorize your wireless carrier to use or disclose information about your account and your wireless device to Spedy solely to help Spedy identify you or your wireless device and to prevent fraud

Single Account Policy: You may only have one Spedy account, and sharing or transferring the account to others is prohibited.

Reporting Unauthorized Use: Notify Spedy immediately of any unauthorized access or suspicious activity on your account.
3.7 Compliance with Privacy Laws
For users in Canada and Panama, Spedy complies with national privacy regulations, including Canada’s PIPEDA and Panama’s Law 81 on Data Protection. By using Spedy, you consent to our privacy practices as outlined in the privacy policy and the specific privacy laws of each region.
3.8 Account Suspension and Termination
Spedy reserves the right to disable or delete your account if it remains unconfirmed, inactive, or shows unauthorized use. This may occur if your account:

Inactive or Unconfirmed Accounts: Remains inactive for a prolonged period or is not verified after registration.

Unauthorized Activity: Shows signs of unauthorized access that cannot be resolved.
Spedy is not responsible for any loss of access under these conditions. Certain terms may survive termination if applicable by law.
3.9 Minors
Minors under the age of 18 may only use the services under the supervision of a responsible adult. Additionally:

Parental Responsibility: You are fully responsible for all activity on your account, including any actions taken by minors under your supervision. Spedy and Brydge Holdings LLC bear no responsibility for any communications or activities conducted by minors under your supervision, whether within the app or outside of it.

Incident Reporting: Spedy may report incidents involving minors to relevant authorities as a safety measure.
3.10 Network and Device Access
You are responsible for securing the network and device access necessary to use Spedy. This includes:

Data and Device Compatibility: Ensuring that your device is compatible with Spedy and maintaining any necessary updates to support the app.

Network Charges: Acknowledging that your mobile network provider may impose data and messaging fees based on your use of the app.
3.11 Account Responsibilities and Restrictions
Your use of the Spedy account is subject to the following responsibilities and limitations:

Account Security: You must safeguard the confidentiality of your username and password and are accountable for all activity that occurs under your account.

Lawful Use: You agree to comply with all local and international laws and regulations, including those related to data and consumer protection. Spedy services are strictly for lawful use, and users must avoid actions that could cause harm, nuisance, or losses, damages, injuries, or other unintended consequences.

Identity Verification: You may be asked to verify your identity to maintain account security, and refusal or inability to verify may limit your access to Spedy.
Permitted Uses
You are allowed to:

In-App Communication: Connect with Brydgees and other providers through the app’s messaging and calling functions, strictly for personal, non-commercial purposes.
-
Profile Interaction: View and interact with Brydgee and Explore profiles and other permitted features.
Prohibited Uses
You must not:

Republish Content: Repost any content from the app onto other platforms.
-
Sell or License Content: Attempt to sell, rent, or license any content from Spedy.
-
Exploit for Commercial Use: Use any material from the app for commercial gain.
-
Redistribute Content: Share or distribute app content in any unauthorized manner.
By using the Spedy app, you agree to adhere to these terms to maintain a secure, reliable, and efficient experience for yourself and other users.
4. Violations of Terms
4.1 Warnings and Restrictions
If you violate these Terms, we reserve the right to take immediate action, including suspending or permanently terminating your account at any time, with or without prior notice, for any reason that constitutes a breach of these Terms. We may also take steps to address any suspected or potential violations, including, but not limited to:

Issuing Warnings: We may send one or more formal warnings notifying you of the specific violation and the corrective actions expected to avoid further consequences.

Access Restrictions: Depending on the severity of the violation, we may impose temporary or permanent restrictions on your ability to access the application, either fully or partially, to prevent further breaches.

IP Address Blocking: To prevent continued access, we may block devices associated with your IP address, effectively stopping access to our application from specific networks or locations.

Legal Action: We reserve the right to initiate legal proceedings against you if there is a significant breach of these Terms, whether due to a direct violation or any other actionable cause, including breach of contract, unauthorized use, or any other infraction impacting the integrity of the application. By agreeing to these Terms, you acknowledge and accept that, in the event we initiate legal action against you, or if you bring legal action against Spedy or Brydge Holdings LLC for any reason, you will bear full responsibility for all legal costs associated with the proceedings. This includes, but is not limited to, all attorney fees, court costs, filing fees, and any other expenses incurred by any party as a result of legal action.
This responsibility applies regardless of the outcome of the case, meaning you are liable for covering all legal expenses whether the judgment is in your favor or against you. Additionally, these terms extend to all cases involving legal disputes between you and Spedy or Brydge Holdings LLC, whether initiated by you or by us, and encompass every stage of the legal process, including appeals, settlements, and any other subsequent actions related to the initial case.
4.2 Legal Action and Fees
By using the application, you agree to this allocation of costs and understand that any attempt to challenge or disregard this responsibility could lead to additional legal action to recover expenses. This measure is in place to ensure that Spedy and Brydge Holdings LLC are protected from the financial impacts of legal disputes and to encourage adherence to these Terms.
4.3 Account Termination and Suspension
Additionally, if we enact any of these restrictions, suspensions, or terminations, you are strictly prohibited from circumventing these measures. This includes, but is not limited to, creating or using a new account, utilizing proxy servers, or taking other actions intended to bypass any restrictions we have put in place. Attempting to evade these protective measures is considered an additional violation and may lead to further consequences, including more severe legal action.
Our enforcement measures are aimed at ensuring the security and integrity of our application and its community. We take breaches seriously to maintain a safe and trustworthy environment for all users. By using our application, you agree to adhere to these Terms and understand that any attempt to undermine or violate these conditions will be met with appropriate actions.
5. Content and Conduct
5.1 User-Generated Content Responsibility
By using the App, you agree that any content you submit, or share must comply with all applicable laws and these Terms of Service. You are solely responsible for the accuracy, completeness, and currency of any information or content you provide. You also agree to refrain from submitting content that may infringe upon the rights of others or disrupt the intended use of the App.
When you submit content through the App, you grant us a worldwide, non-exclusive, irrevocable, royalty-free license to use, store, and, with your consent, publish your content on or through the App. This license allows us to maintain and improve the services we provide. Spedy may enable you, at various times, to submit, upload, publish, or otherwise make content available through Spedy Services. This may include written text, audio or visual files, feedback, commentary, and content related to competitions or promotions, collectively referred to as “User Content.”
5.2 Prohibited Content
When sharing content, you agree not to:

Systematically collect data from the App without receiving explicit written permission from us.

Employ automated tools (such as bots, spiders, or scrapers) to access or interact with the App, which could disrupt user experience or compromise system integrity.

Use the App in any manner that could harm other users or interfere with their use and enjoyment of the App.

Download or save any material from the App without receiving specific permission to do so.

Circumvent security or authentication systems designed to protect the App and its users.

Conduct security testing, including penetration testing, without receiving prior authorization from us.

Host, transmit, or distribute malware, viruses, or any malicious software intended to disrupt, damage, or compromise the App or other users’ devices.

Place an excessive load on the App’s resources, including bandwidth, storage, or processing capacity, which could impact the functionality of the service.

Attempt to decrypt or decipher any communications sent by or received through the App without authorization.

Use data gathered from the App for marketing purposes, including unsolicited communications, without proper authorization.

Cause or risk causing harm, annoyance, or anxiety to other users or third parties.

Submit or share content that is illegal or that might pose legal risks to Spedy or its users.

Upload obscene, indecent, or otherwise offensive material that could infringe on copyrights or intellectual property rights.

Engage in content that promotes racial or religious hatred, discrimination, or violation of applicable laws on racial or religious content.

Post pornographic, lewd, suggestive, or sexually explicit material that may offend other users or violate legal standards.
We reserve the right to review, edit, or remove any content that does not comply with these Terms or applicable laws. Any violations of these terms may result in immediate suspension or termination of your account without prior notice.
5.3 Rights to Use User Content
User Content Rights: Spedy may allow you to submit, upload, publish, or make available content within Spedy Services, including text, audio, visual files, feedback, support requests, and entries for promotions (“User Content”). By sharing this content, you give Spedy permission to use and manage it in ways necessary to operate and improve the services.
License to User Content: When you provide User Content, you grant Spedy and its affiliates a worldwide, perpetual, irrevocable, transferable, royalty-free license, with the right to sublicense. This license enables Spedy to use, copy, modify, create derivative works from, distribute, publicly display, and publicly perform your User Content across all known and future platforms (including third-party sites and services). This license also allows us to continue improving and expanding Spedy Services without further notice, consent, or compensation owed to you or other parties.
Content Ownership and Warranties: By submitting content, you warrant that:

(i) You are the exclusive owner of your User Content or have the necessary rights, permissions, licenses, and consents to grant Spedy the rights outlined in these Terms.

(ii) The submission, publication, and sharing of your content, and Spedy’s subsequent use of it as permitted by these Terms, will not infringe on, misappropriate, or violate any third-party rights, including intellectual property, publicity, privacy, or other legal rights.

To provide Spedy Services, we may share necessary information, including contact details, with service providers or third-party vendors. We may also share data when required to comply with legal obligations or government requests.
5.5 Communication Consent
Your use of Spedy Services involves the collection and use of personal data as described in Spedy’s Privacy Policy. By using Spedy, you consent to Spedy’s collection, use, and sharing of your personal information in line with the Privacy Policy.
5.6 Prohibited Uses and Misuse of the Application
By creating an account, you agree to receive electronic communications from Spedy regarding normal App operations and marketing, unless you opt-out as specified in the Privacy Policy.
5.7 Misuse of Application

To maintain the integrity and functionality of our App, you agree not to:

Use the App in ways that could cause harm or reduce the App’s performance, availability, accessibility, integrity, or security.

Collect data systematically from the App, such as scraping, data mining, or data harvesting, without express permission.

Use bots, spiders, or other automated means to interact with the App, except as allowed for search engine indexing.

Interact with the App in any way outside our public interfaces.

Use data from the App for direct marketing, including unsolicited messages or mailings.

Interfere with the normal use and enjoyment of the App by other users.
You must ensure that all information you provide through the App, or in connection with it, is accurate, complete, and not misleading.
5.8 Restrictions on Use
Without explicit written permission, you agree not to:

Modify or use any App material for commercial purposes outside of authorized use.

6. Governing Law and Jurisdiction
6.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the United States. Additionally, users in Canada and Panama are afforded specific protections under their respective local laws, including but not limited to Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA) and Panama’s Law 81 on Data Protection. These local protections supplement U.S. law but do not override its application as the primary governing framework for disputes related to these Terms.
6.2 Jurisdiction
All disputes arising under these Terms that involve Spedy or Brydge Holdings LLC fall under the exclusive jurisdiction of the courts of the United States. By accepting these Terms, users from Canada, Panama, or any other jurisdiction explicitly agree to submit to U.S. jurisdiction for any legal actions. This agreement applies regardless of the user’s physical location, residency, or local laws.
Users further acknowledge that all claims or cases against Spedy or Brydge Holdings LLC must be filed exclusively in U.S. courts. Claims filed outside the United States will be automatically dismissed. Spedy or Brydge Holdings LLC will not be liable for any fees, damages, or costs incurred due to improper filing.
6.3 Compliance with Local Laws
Users of Spedy Services in Canada, Panama, and the United States agree to the exclusive jurisdiction of the courts of the United States."*. By accepting these Terms, all claims or cases brought against Spedy or Brydge Holdings LLC must be filed in the exclusive jurisdiction of the courts of the United States. This applies regardless of whether the individual, entity, company, or third party involved is based in the United States legal framework.
Failure to file within the specified United States jurisdiction will result in the automatic dismissal of the claim. Spedy or Brydge Holdings LLC is not responsible for any fees, legal costs, or damages resulting from improper filing outside the United States jurisdiction.
However, by accepting these Terms, users must respect and adhere to local governing laws and jurisdiction if accused of causing harm, damages, or loss of any kind on or outside the app.
By accepting these Terms, users acknowledge that Spedy and Brydge Holdings LLC are not liable for any negative actions or verbal claims causing harm, damages, or loss on or outside the app. If a person, company, or third party accuses a user of any wrongdoing, the resolution of such claims is the sole responsibility of the accused user.
Users are subject to the accuser’s local governing laws and jurisdiction of choice. Spedy and Brydge Holdings LLC will not be liable for legal fees or actions resulting from disputes between users and accusers. Each party is responsible for their own actions under the governing laws and jurisdiction chosen by the accuser or the user.
This includes compliance with privacy laws (e.g., PIPEDA in Canada and Law 81 on Data Protection in Panama), consumer protection laws, and transportation regulations.
6.4 Limitation of Spedy and Brydge Holdings LLC Liability
By accepting these Terms, users agree that Spedy and Brydge Holdings LLC are not liable for any claims of harm, damages, or loss resulting from disputes between users or with external parties. This includes disputes arising from misuse of the app or user interactions outside the app.
If an individual, company, or third party accuses a user of any misconduct, the user is solely responsible for addressing and resolving the claim. Spedy and Brydge Holdings LLC disclaim liability for legal fees, penalties, or outcomes resulting from such disputes.
Each party involved in a dispute is independently responsible for their actions and must resolve disputes according to the governing laws of the accuser’s jurisdiction.
Spedy and Brydge Holdings LLC explicitly disclaim liability for legal outcomes, costs, or damages resulting from disputes and remain committed to providing a safe and secure user experience.
6.5 Role of Spedy and Brydge Holdings LLC in Disputes
Spedy and Brydge Holdings LLC will not automatically involve themselves in disputes between users or with third parties. Participation in such matters will be determined solely at the discretion of Spedy’s owners and shareholders.
By agreeing to these Terms, users acknowledge that Spedy and Brydge Holdings LLC are not responsible for legal outcomes, monetary claims, settlements, or judgments resulting from disputes. Whether outcomes are favorable or unfavorable to any party, they do not reflect Spedy’s mission or liability. The responsibility for compliance with governing laws and dispute resolution rests solely with the involved parties.
6.6 Dispute Resolution
1. Arbitration Agreement
All disputes, claims, or controversies—including those involving claims of personal injury, such as harassment or assault—arising out of or relating to these Terms, including their enforcement, interpretation, or validity, will be resolved exclusively through binding arbitration. Arbitration will be conducted by the American Arbitration Association (AAA) under its rules, as modified by these Terms.
2. Waiver of Jury Trial
By agreeing to arbitration, you and Spedy waive the right to resolve disputes through a trial by jury.
3. Class Action Waiver
Users agree to resolve disputes individually and not as part of any class, collective, or representative action. Class arbitration, class actions, or collective claims are expressly prohibited under these Terms.
Additionally, users accept that if they initiate a class action against Spedy, they will be liable for all legal fees incurred by Spedy, regardless of the outcome.
4. Arbitration Location and Procedure
Arbitration proceedings will be conducted in English language and held in a mutually agreed-upon location within the United States. If the parties cannot agree on a location, arbitration will take place in the city where Spedy’s principal offices are located.
6.7 Other Provisions
1. Choice of Law
These Terms are governed by and construed in accordance with U.S. law or the laws of the U.S. state where the dispute arises, without regard to conflict-of-law principles. This provision applies solely to interpreting these Terms and does not generally extend any state’s law to disputes that did not arise in that state.
2. Choice of Forum
Any dispute, claim, or controversy arising from these Terms must be filed exclusively in:

6.8 Additional Legal Provisions
1. Spedy’s Right to Control Defense
Spedy reserves the right to assume or participate in the defense or settlement of any claim at its sole discretion, including appointing legal counsel of its choosing. Users must cooperate fully with Spedy in such cases.
2. Copyright and Trademark Claims
Notices of copyright or trademark infringement must be submitted in accordance with Spedy’s designated procedures.

7. Payments and Third-Party Platforms
7.1 Payment Platforms and Terms
The Spedy Application facilitates the processing of payments and payouts exclusively through third-party platforms, specifically PayPal and Stripe. By using Spedy Services, you agree to comply with PayPal’s and Stripe’s terms of service and privacy policies, as applicable, which operate independently of Spedy. These agreements govern your use of PayPal and Stripe and their handling of transactions and associated data. To facilitate smooth transactions, Service Providers must link an active PayPal or Stripe account to their Spedy Account. While Spedy controls fees associated with using the Spedy App, it does not control fees imposed by these third-party providers. Service Providers are fully responsible for managing transaction costs, currency conversions, and any other associated fees.
7.2 Limited Liability for Payments
Spedy assumes no responsibility for any issues arising from the payment processing performed by third-party providers. This includes, but is not limited to, failed transactions, delays, unauthorized access to payment methods, or additional fees imposed by PayPal, Stripe, or other financial intermediaries.
7.3 Payment Authorization
By using Spedy Services, you authorize Spedy to process payments or charges using your designated primary payment method stored in your Spedy Account. In cases where the primary payment method is unavailable (e.g., expired or insufficient funds) or declined, Spedy is authorized to process payments using a secondary payment method, if available.
If, during your use of Spedy Services, you cause damage to property or individuals, you bear sole responsibility for any repair or damage-related fees. Spedy and its parent company, Brydge Holdings LLC, will not engage in monetary disputes between users and affected third parties unless such intervention is deemed necessary by Spedy at its sole discretion. Spedy disclaims any liability for damages caused during the use of its platform or services. Spedy and Brydge Holdings LLC will not mediate or provide support for disputes related to damages, except at their sole discretion.
7.4 Promotional Codes
Spedy may, at its discretion, issue promotional codes (“Promo Codes”) for discounts or credits toward services. The following terms apply to Promo Codes:

Non-transferable: Promo Codes cannot be shared, sold, or transferred to another user.

Single purpose: Codes must only be used for the intended audience and purpose, as outlined in their terms.

Geographic restrictions: Promo Codes are redeemable in Canada, Panama, and the United States only, subject to local regulations.

Subject to change: Spedy reserves the right to modify, cancel, or void Promo Codes without liability or prior notice.
Promotional offers and discounts may vary by user and cannot be guaranteed universally. Discounts received by other users for similar services will not affect charges applied to you.
7.5 Charges and Fees
Charges for Spedy Services (“Charges”) are assessed for services provided by third-party Service Providers. Payments for these Charges are facilitated through Spedy as a limited payment collection agent for the Service Provider. Payment to Spedy is considered equivalent to direct payment to the Service Provider, and all charges are final and non-refundable unless stated otherwise by Spedy or required by applicable laws.

Canada: Charges may include Goods and Services Tax (GST) or Harmonized Sales Tax (HST) depending on the user’s location.

Panama: Charges may include the Transfer Tax (ITBMS) as required by Panamanian tax laws.
7.6 Currency Conversion
For payments or payouts requiring currency conversion, third-party providers such as PayPal or Stripe will apply the applicable exchange rate at the time of the transaction. Users are responsible for any currency conversion fees imposed by these providers. Spedy does not guarantee specific exchange rates and is not liable for discrepancies or associated fees. Users are encouraged to verify rates and associated costs before completing transactions.
7.7 Refunds and Cancellations
Charges paid by users are generally final and non-refundable unless otherwise determined by Spedy or mandated by law. Users may cancel service requests at any time before the Service Provider accepts them. For disputes, refund requests, or corrections to charges, users must contact Billing@Spedyapp.com within 30 days of the transaction. Requests submitted after this period may not be entertained, and users forfeit the right to dispute the charge.
Refunds are subject to Spedy’s discretion and will only be issued in cases deemed valid under Spedy’s policies or applicable laws. Refunds for services outside of Canada, Panama, or the United States may be subject to additional terms.
7.8 Data Privacy Compliance (Regional)

Canada: Spedy adheres to the Personal Information Protection and Electronic Documents Act (PIPEDA). User data collected during payment processing is handled securely and in compliance with Canadian privacy laws. Sensitive financial data is stored and processed exclusively by PayPal and Stripe.

Users in the United States are entitled to data access, deletion, and portability as specified in Spedy’s Privacy Policy. Payment data is securely managed by PayPal and Stripe.
7.9 Third-Party Payment Terms
Users are responsible for familiarizing themselves with the terms and conditions of any third-party payment processing platforms. Spedy disclaims liability for delays, disruptions, or fees imposed by these providers. Payment through Spedy constitutes direct payment to the Service Provider, with Spedy acting as a limited payment collection agent. Users may negotiate Charges directly with Service Providers but are responsible for finalizing payments through Spedy.
7.10 Payment Methods
Adding a payment method to your Spedy Account authorizes Spedy and its payment partners to collect, store, and process your payment information. Spedy may automatically update expired or reissued payment methods in compliance with applicable laws. If a default payment method fails, Spedy is authorized to use any alternate methods saved in your account.
7.11 Payment Updates and Limitations
Spedy reserves the right to refuse, decline, or limit payment methods suspected of fraud or unauthorized use. Transactions involving certain payment methods may incur additional fees, which are the sole responsibility of the user. Spedy may debit or credit your payment method to correct errors or issue refunds as needed. If your payment method details (e.g., expiration date) are updated by your bank or financial service provider, Spedy may automatically update the information in accordance with applicable laws.
7.12 Tips
Spedy currently does not provide an integrated tipping feature. If you choose to tip a Service Provider, you are responsible for managing the method and outcome of the transaction. Spedy disclaims any liability for disputes, errors, or losses related to tipping.
7.13 Damage, Cleaning, Lost and Found, and Charges for Violation of Terms

Spedy will not process fees for damages or cleaning on behalf of Service Providers. Responsibility for resolving such matters rests solely between the user and the affected party. Spedy reserves the right to require evidence or documentation of damages before intervening in disputes. Users failing to comply with Spedy’s Terms of Service may incur additional charges for unresolved transactions or violations. Spedy may, at its sole discretion, assist in dispute resolution, though it is under no obligation to do so.
8. International Operations and Compliance
8.1 Adherence to Local Laws
The App is available for use by individuals in the United States, Canada, and Panama. By accessing and utilizing the App, you agree to comply with all relevant local, state, national, and international laws and regulations, including, but not limited to, those governing privacy, data protection, and user rights specific to your location. This agreement includes a responsibility to remain informed about and adhere to any changes in these legal and regulatory frameworks as they evolve over time. Access to the App, along with the collection, storage, and processing of user data through it, must align with the legal requirements of these jurisdictions. By using the App, you acknowledge that Spedy and Brydge Holdings LLC are not responsible for notifying or advising you on specific regulatory obligations that may apply to your use. The responsibility to understand and comply with these obligations’ rests solely with you.
8.2 Regional Restrictions and Adjustments
Access to the App may be limited, restricted, or subject to specific conditions in certain regions due to variations in local laws, regulatory frameworks, or compliance requirements. Spedy and Brydge Holdings LLC reserve the right to impose restrictions, modify functionalities, or suspend access to the App within any jurisdiction as needed to ensure compliance with applicable legal mandates or to safeguard the security and rights of users. In the event of significant regulatory or legal developments impacting the App’s operations in a particular area, Spedy may implement temporary or permanent changes, including modifications to features, terms of access, or complete suspension of access, to align with such developments. Users will be responsible for adhering to any such limitations and must adjust their usage of the App accordingly.
8.3 Data Privacy and Cross-Border Transfers
Spedy is fully committed to ensuring compliance with applicable legal and regulatory frameworks related to data privacy, financial transactions, consumer protection, and user rights in the United States, Canada, and Panama. This commitment includes adherence to established standards for cross-border data transfers, secure processing practices, and data retention policies. All user data collected through the App is managed transparently and responsibly, in alignment with the specific legal and regulatory obligations of these regions. Spedy prioritizes the secure handling of user information and complies with financial and privacy laws to maintain user trust and ensure accountability in all jurisdictions where it operates.
8.4 User Responsibility for Legal Compliance
It is the sole responsibility of users to understand the legal and regulatory implications of accessing and using the App from their respective locations. This includes complying with all applicable laws, restrictions, or operational requirements that may apply to the App’s use in a particular jurisdiction. Users must ensure their actions align with local laws and seek professional guidance if necessary to clarify regulatory requirements. Spedy and Brydge Holdings LLC expressly disclaim liability for any adverse consequences arising from a user's failure to comply with these obligations. Users are encouraged to proactively review relevant laws and consider the implications of any legal changes that may impact their use of the App.
8.5 Operational Changes for Compliance
In addition to legal compliance, Spedy may implement best practices and proactive measures to anticipate and mitigate risks related to evolving regulatory landscapes. This includes regular reviews of its operations, data practices, and security protocols to align with new standards or to address specific challenges in different jurisdictions. While Spedy will make every effort to maintain App availability, such measures may result in temporary disruptions or changes to App features as required to comply with local or international laws.
8.6 Consequences for Non-Compliance
Users should note that failure to adhere to these compliance obligations may result in consequences such as restricted access to the App, termination of service, or legal action as required by the applicable laws. Spedy and Brydge Holdings LLC reserve all rights to enforce terms and conditions related to legal compliance and to act in the best interest of maintaining lawful operations across all supported regions.
9. Third-Party Relationships
9.1 Rights of Third Parties
These Terms are expressly established for the mutual benefit of Spedy and its users. They do not create, convey, or confer any rights, obligations, or benefits to any third party under any circumstances. Any agreement or understanding arising from these Terms is solely intended to govern the relationship between Spedy and its users, ensuring their mutual rights and obligations are maintained and protected. No third party, including any service provider, contractor, or affiliate, may claim enforcement or derive benefits directly or indirectly under these Terms.
Exception for Brydgee
Brydgee, as a service provider to Spedy, is compensated monetarily for its services. However, this monetary arrangement is strictly for the provision of services to Spedy and does not:

Establish any enforceable rights, claims, or benefits for Brydgee concerning Spedy users.

Confer Brydgee any authority to act on behalf of Spedy or to represent Spedy's users in any capacity.

Permit Brydgee, or any third party affiliated with Brydgee, to influence, modify, or enforce these Terms in a manner that affects Spedy's users.
While Brydgee's role is acknowledged as a compensated provider, it remains solely a service relationship with no direct interaction or enforceable claims related to Spedy’s users. Users must recognize that any benefits conferred to Brydgee are limited to monetary compensation and are separate from the rights and obligations outlined herein for Spedy and its users.
No User Rights Extended to Third Parties
Under no circumstances do these Terms:

Allow any third party, including service providers like Brydgee, to gain rights or privileges over Spedy users.

Grant third parties any authority to alter, amend, or enforce these Terms.

Create a fiduciary or direct contractual relationship between Spedy users and any third-party service provider.

The Spedy App may provide access to links, integrations, or references to third-party websites, services, or platforms. These links are provided for users’ convenience and informational purposes only. However, Spedy does not control, own, operate, or endorse these third-party platforms or accept responsibility for their content, privacy practices, reliability, security, functionality, or services they may offer.

Spedy makes no guarantees regarding the availability, accuracy, or functionality of these third-party links. Users interact with third-party content at their own discretion and risk, and Spedy shall not be held accountable for any consequences arising from such interactions.
9.3 Violations Involving Third Parties Remedial Actions for Breaches
If you violate these Terms, Spedy reserves the right to respond with actions it deems appropriate, which may include but are not limited to:

Account Restrictions: Temporarily or permanently restricting, suspending, or terminating access to your account or the Spedy App.

Spedy will determine the appropriate response based on the severity and nature of the breach and reserves the right to act without prior notice in cases of serious violations.
9.4 Licensing Provisions
Grant of License: Spedy grants you a limited, non-exclusive, revocable, non-sublicensable, and non-transferable license to download, install, and use the Spedy App and associated services on your personal devices solely for lawful and intended purposes. Spedy retains all ownership, intellectual property, and other rights to the App and its services unless expressly stated otherwise in these Terms.
9.5 Acknowledgment of Independence of Third Parties
